Terms of Use — Koris

1. Acceptance

By browsing the website, joining the waitlist, creating an account or using Koris, you confirm that you have read and accept these Terms and the Privacy Policy. If you do not agree, do not use the service.

If you use Koris on behalf of a company or another organization, you confirm that you are authorized to accept these Terms for it, and "you" includes that organization.

2. What Koris is

Koris brings together AI agents that chat with you and your team, research, draft text, organize routines and, when you connect integrations, act in other services on your behalf. Each team works in its own workspace, with members, settings and a balance of koins, the credits agents spend as they work.

Koris is in development. Features may change, be added or be removed. Joining the waitlist does not create an account, does not lead to any charge and does not guarantee access or price.

3. Account and workspace

You must be 18 or older to create an account.
Provide accurate information and keep it up to date.
Keep your password safe. You are responsible for activity on your account, unless you show the access was unauthorized and tell us as soon as you learn of it.
Whoever creates a workspace is its owner. Owners and admins invite people, set roles, connect integrations and subscribe to plans. Members use the workspace within the permissions they are given.
The owner can delete the workspace. Deleting it removes, for every member, its conversations, agents, files, settings and koins, and cannot be undone.

4. Plans, koins and payments

Plans are monthly subscriptions billed through Stripe, our payment processor, and renew automatically until you turn renewal off.
Each paid month adds the number of koins shown at checkout to the workspace. Unused koins stay in the balance for as long as the workspace exists, even after the subscription ends.
Koins have no cash value, are not refundable, cannot be exchanged for money and cannot be moved to another workspace. What each task costs depends on the model, the length of the conversation and the tools used, and is shown on the billing page.
You can turn automatic renewal off at any time. The plan stays active until the end of the period already paid for and then stops adding koins. A month in progress is not refunded pro rata, unless the law requires it.
Right of withdrawal: for your first subscription, you may withdraw within 7 days and receive a full refund, as provided by article 49 of the Brazilian Consumer Protection Code. Ask at privacy@koaris.com.
Deleting the workspace cancels the subscription immediately, without a refund for the month in progress, subject to the right of withdrawal.
We may change prices and koin amounts. We will give at least 30 days’ notice, and the change applies from the first renewal after the notice.
If a payment fails, that month’s koins are not added, and we may suspend the subscription until it is settled.

5. Your content

Messages, files, documents, memories, routines and other material you or your team submit remain yours. You grant us a limited, non-exclusive, royalty-free license to host, copy, process, transmit and display that content only as needed to provide, protect and maintain the service, including sending it to the AI model providers that generate replies.

You confirm that you have the rights and permissions needed for what you submit. When a workspace processes personal data about other people, such as customers who write through WhatsApp or Telegram, you are the controller of that data and Koris acts as a processor on your instructions. You are responsible for having a legal basis for that processing and for informing those people, including that they are talking to an AI agent where that is required.

We do not use workspace content to train AI models.

6. AI agents

AI-generated replies can be wrong, incomplete or out of date. Review anything important before you use it or act on it.
Koris does not give legal, medical, financial, accounting or other regulated professional advice.
With the integrations and permissions you set up, agents can act on your behalf: send messages, publish content, create events, read files and call tools. You choose those permissions and are responsible for the actions you authorized.
Do not use Koris to make decisions that have legal effects on, or significantly affect the rights of, other people without human review.

7. Third-party services

Some features rely on third-party services such as WhatsApp, Telegram, Google, X, LinkedIn, Instagram, GitHub, MCP servers and Stripe. When you connect them, their terms also apply to you. They may limit, change or block access at any time, and we are not responsible for their availability or content.

8. Acceptable use

You may not use Koris to:

break the law or encourage others to do so;
send spam, unsolicited bulk messages or messages that violate the policies of WhatsApp, Telegram or other channels;
harass, threaten, discriminate against, defame or impersonate anyone;
create or share child sexual abuse material, non-consensual sexual content or deceptive content that imitates real people;
infringe copyrights, trademarks, trade secrets or other people’s privacy;
collect or process personal data without a legal basis;
distribute malware, or attack, overload or try to get around the security, usage limits or billing of the service;
resell or sublicense Koris without our written permission.

9. Open source and trademark

The Koris source code is published on GitHub under the ISC license, which governs use of the code. These Terms govern the hosted service and the website. The Koris name, the koala and other brand features are not licensed for other uses without permission.

10. Availability

We work to keep Koris available and secure, but we do not guarantee that it will be uninterrupted or error-free. We may carry out maintenance and will try to announce planned maintenance in advance. There is no service level agreement unless one is specifically contracted.

11. Suspension and termination

We may suspend or end access for an account or workspace that breaches these Terms, fails to pay, puts the service or other people at risk, or when the law or an authority requires it. Where possible, we will warn you first and explain why.

You can stop using Koris at any time, turn off subscription renewal, delete workspaces you own and ask for your account to be deleted at privacy@koaris.com.

12. Liability

To the extent permitted by law, we are not liable for indirect damages, lost profits, lost opportunities, AI-generated content you used without reviewing it, actions you authorized agents to take or failures of third-party services. Our total liability is limited to the amount you paid Koris in the 12 months before the event.

These limits do not apply where the law prohibits them, including consumer relationships governed by the Brazilian Consumer Protection Code, or to damage caused by willful misconduct or gross negligence.

13. Changes to these Terms

We may update these Terms. We will announce material changes by email or in the app at least 15 days in advance. If you do not agree, you can stop using the service before the change takes effect. Continuing to use it afterwards means you accept the new version.

14. Governing law and venue

These Terms are governed by the laws of Brazil. Any dispute will be settled in the courts of the user’s place of residence.
